1. The App and Its Purpose

Mimi Chat is designed to help teams communicate more efficiently by enabling private and group chats, threaded conversations, reactions, availability statuses, search, and notification controls within monday.com workspaces.

Mimi Chat operates as an independent application that integrates with monday.com and is not owned or operated by monday.com.

2. Eligibility

You may use the App only if:

• You have a valid monday.com account
• You are authorized to install and use apps within your monday.com workspace
• You comply with these Terms and all applicable laws and regulations

If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Access and Permissions

Mimi Chat relies on permissions granted through monday.com APIs. By installing the App, you authorize Mimi Chat to access only the data necessary to provide its functionality, as described in our Privacy Policy.

You are responsible for maintaining the security of your monday.com account and for all activities that occur through your account while using the App.

4. Acceptable Use

You agree not to use the App to:

• Violate any applicable law or regulation
• Infringe upon the rights of others
• Transmit unlawful, harmful, abusive, harassing, defamatory, or offensive content
• Interfere with or disrupt the App, servers, or networks
• Attempt to gain unauthorized access to systems or data

We reserve the right to suspend or terminate access to the App if these rules are violated.

5. User Content

You retain ownership of any messages or content you create using Mimi Chat ("User Content").

By using the App, you grant us a limited, non-exclusive, royalty-free license to process, store, and display User Content solely for the purpose of operating and improving the App.

We do not monitor chat content for business purposes and do not use it for advertising.

6. Privacy and Data Protection

Your use of the App is subject to our Privacy Policy, which explains how we collect, use, and protect your data. By using the App, you agree to the practices described in the Privacy Policy.

7. Availability and Changes

We aim to provide a reliable service but do not guarantee that the App will be available at all times or without interruption.

• Temporarily or permanently suspend the App

Continued use of the App after changes become effective constitutes acceptance of the updated Terms.

8. Third-Party Services

The App depends on monday.com and its APIs. Your use of monday.com is governed by monday.com's own terms and policies, and we are not responsible for their services or availability.

9. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability arising out of or related to the App shall not exceed the amount paid by you (if any) for use of the App in the twelve (12) months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless Mimi Chat, its owners, and affiliates from any claims, damages, losses, or expenses arising out of:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of a third party

12. Termination

You may stop using the App at any time by uninstalling it from your monday.com workspace.

We may suspend or terminate access to the App if you violate these Terms or if required by law.

Upon termination, your right to use the App will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Insert country/state], without regard to conflict of law principles.
